These Terms of Service ("Terms") govern your access to and use of the DeliveryDesk platform and website operated by DeliveryDesk HQ ("DeliveryDesk," "we," "us," or "our") at www.deliverydeskhq.com. By accessing or using our services, you agree to be bound by these Terms.
DeliveryDesk provides a web-based dispatch management, billing, and driver management platform for courier and hotshot delivery companies ("the Platform"). We grant you a limited, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms and your subscription plan.
To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
Access to the Platform requires a paid subscription. Subscription fees are billed monthly at the rate in effect at the time of billing. We may change our pricing with 30 days' written notice. All fees are non-refundable except as required by law. If payment fails, we may suspend access to your account after reasonable notice.
You retain ownership of all data you enter into the Platform ("Your Data"). You grant us a limited license to use, store, and process Your Data solely as necessary to provide the services. We will not access, use, or share Your Data except as described in our Privacy Policy or as necessary to provide, maintain, and improve the Platform.
You are responsible for the accuracy and legality of Your Data and for ensuring that your use of the Platform complies with all applicable laws.
The Platform operates on a multi-tenant architecture. Your Data is logically isolated from other customers' data. We implement technical controls including database-level access policies and application-level tenant scoping to prevent unauthorized cross-tenant data access.

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of scheduled maintenance. Support is available via email at support@deliverydeskhq.com.
The Platform, including its design, features, code, and documentation, is owned by DeliveryDesk and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features. Feedback or suggestions you provide about the Platform may be used by us without obligation to you.
To the maximum extent permitted by law, DeliveryDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Platform. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be error-free, secure, or available at all times.
You agree to indemnify and hold harmless DeliveryDesk and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate these Terms at any time. You may cancel your subscription by contacting us. We may suspend or terminate your access if you violate these Terms, with notice where practicable. Upon termination, you may request an export of Your Data within 30 days. After that period, we may delete Your Data in accordance with our data retention practices.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Harris County, Texas.
